By accessing or using the CanvasPro website (getcanvaspro.com), software, or related services (the "Services"), you confirm that you have read, understood, and agree to be bound by these Terms of Service ("ToS"). If you do not agree with these terms, you must discontinue use immediately. These ToS constitute a legally binding agreement between you ("User") and CanvasPro ("Company"), governing your use of the Services.

As a user of CanvasPro, you agree to:

• Use CanvasPro responsibly, ethically, and in compliance with all applicable laws and regulations.
• Not rely solely on CanvasPro to complete coursework or obtain academic credits.

• Ensure that all use of CanvasPro complies with the rules, policies, and guidelines of your educational institution.

By using CanvasPro, you acknowledge that misuse of the Services may result in consequences such as academic penalties, disciplinary actions, or other legal and reputational risks. You are solely responsible for your conduct while using CanvasPro.

Academic integrity is a cornerstone of the educational process. CanvasPro encourages users to maintain the highest standards of honesty and fairness in their academic endeavors.

Misuse of CanvasPro in a manner that violates academic integrity can lead to:

• Disciplinary actions from educational institutions, including suspension or expulsion.
• Invalidation of academic credits or certifications.
• Long-term consequences on academic records and professional reputation.

CanvasPro is not responsible for any penalties or negative outcomes resulting from improper use. Users are encouraged to leverage CanvasPro's features for productive and ethical purposes, aligning with both educational goals and institutional policies.

CanvasPro is an independent service and is not affiliated, endorsed, or associated with any educational institutions, online learning platforms, or educational software providers. The development, maintenance, and distribution of CanvasPro are managed solely by its proprietary team.

The software operates independently and does not integrate with, alter, or access any third-party systems, databases, or infrastructures. CanvasPro maintains a clear separation from external educational platforms and services to ensure the autonomy of its operations.

CanvasPro does not guarantee that its features will function flawlessly or meet all user expectations. While the Services are designed to improve efficiency and learning outcomes, they are provided on an "as is" and "as available" basis.

The Company makes no warranties, express or implied, regarding:

• The accuracy or reliability of automated answers or suggestions.
• The availability or uninterrupted operation of the Services.
• The effectiveness of any learning tools or automated features in improving academic performance.

Users acknowledge that CanvasPro's capabilities may not align with all educational requirements or scenarios, and the Company is not liable for any shortcomings or performance issues.

All purchases of CanvasPro access keys ("keys") are final and non-refundable. Once purchased, keys are valid only for the specified duration or scope indicated at the time of sale and cannot be exchanged.

Keys do not begin their validity period until redeemed through the CanvasPro interface. Users are responsible for safeguarding their keys and ensuring that they remain secure. CanvasPro will not provide replacements or refunds for keys that are lost, stolen, or otherwise compromised. Each key is intended for single-user use and must be protected against unauthorized access.

To the maximum extent permitted under applicable law, CanvasPro, its developers, and its owner disclaim all liability for damages or losses of any kind that may arise from the use, misuse, or inability to use the Services. This includes, but is not limited to:

• Any direct damages resulting from performance issues, errors, interruptions, or other technical difficulties experienced while using the Services.
• Indirect or incidental damages, including those resulting from delays, loss of productivity, or unforeseen technical conflicts.
• Consequential damages such as lost academic opportunities, invalidation of course credits, or reductions in educational performance.
• Damages related to data loss, including the loss of personal information, learning materials, or saved progress within the system.
• Reputational harm stemming from reliance on the Services, whether caused by perceived misconduct or dissatisfaction with the product's functionality.
• Any disciplinary actions, penalties, or sanctions imposed by educational institutions due to the user's conduct, whether or not the Services were a contributing factor.

CanvasPro does not guarantee uninterrupted access to its Services and cannot be held responsible for external factors that may affect its performance, such as changes in educational policies, updates to third-party platforms, or network disruptions. By using the Services, users acknowledge and accept that they do so at their own risk and that CanvasPro cannot be held liable for any adverse outcomes, including academic penalties, legal repercussions, or financial losses.

CanvasPro reserves the right to amend, revise, or update these Terms of Service (ToS) at its sole discretion. Any changes made will be effective immediately upon posting. Notifications of such changes may be provided through various means, including updates on our website, email communications, or in-service alerts.

Users are responsible for periodically reviewing the ToS to stay informed about any modifications. Continued use of the Services following a change in the ToS constitutes acceptance of the revised terms. If a user does not agree to the new terms, they must cease all use of the Services. By continuing to use CanvasPro after changes are posted, users affirm their understanding and agreement to the updated terms and conditions.

These ToS and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law principles. This means that the laws of Arizona will be used to interpret the rights and obligations of both parties under these ToS, regardless of where the user is located.

Any legal actions, claims, or disputes arising out of these ToS or the use of CanvasPro will be resolved exclusively in the courts located in Maricopa County, Arizona. Users agree to submit to the personal jurisdiction of these courts and waive any objection to venue, including any argument that Maricopa County is an inconvenient forum. This provision ensures that all disputes are resolved under a clear, consistent legal framework.

By using CanvasPro, you acknowledge that you have read and fully understand these Terms of Service. You agree to be bound by these terms and accept full responsibility for your actions while using the Services. This includes adhering to all applicable laws, regulations, and educational policies that govern your use of CanvasPro.

Additionally, you confirm that your use of CanvasPro will not conflict with any agreements, policies, or guidelines established by your educational institution. You agree to uphold academic integrity, ensuring that any tools or features provided by CanvasPro are used responsibly and ethically. By continuing to use CanvasPro, you affirm your commitment to these principles and accept any consequences that may result from failure to comply with these terms.

You must be at least 13 years old to use the Services, and if you are under 18 you must have permission from a parent or legal guardian. You are responsible for maintaining the confidentiality of any credentials, license keys, or referral links associated with your use of CanvasPro. Any activity that occurs under your key, email, or device is considered your activity. If you suspect unauthorized access, notify us immediately at support@getcanvaspro.com.

Subject to your compliance with these ToS, CanvasPro grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Services on devices you personally own or control, solely for your personal, non-commercial use during the validity period of your key.

You agree not to, and not to allow any third party to:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services.
• Copy, modify, adapt, translate, or create derivative works based on the Services.
• Rent, lease, lend, sell, resell, sublicense, distribute, or otherwise commercially exploit the Services or any key.
• Remove, obscure, or alter any proprietary notices contained within the Services.
• Use the Services to build a competing product, benchmark, or scrape.
• Circumvent, disable, or interfere with security-related features, rate limits, license validation, or usage restrictions.
• Share, transfer, publicly post, or resell keys or referral rewards obtained through the "Share to Unlock" flow.

The Share to Unlock program allows eligible users to receive a complimentary Day Key by sharing a unique referral link with others. Participation is subject to anti-abuse controls, including one reward per email address, unique-visitor validation, IP-based rate limiting, and expiration of unclaimed links. CanvasPro may adjust reward thresholds, revoke rewards, or disqualify participants at any time for suspected fraud, self-referrals, bot traffic, or other abuse. Rewards have no cash value and are not redeemable for refunds or credit.

Purchases are processed by third-party payment providers (such as Stripe). By purchasing, you agree to the applicable provider's terms and authorize the charge for the amount displayed at checkout, including any applicable taxes. CanvasPro does not store full payment card numbers. Any refund, chargeback, or billing dispute must first be raised with CanvasPro at support@getcanvaspro.com so we can attempt a good-faith resolution.

The Services may reference or interoperate with third-party platforms, browsers, or extensions. Your use of those third-party services is governed by their own terms, and CanvasPro is not responsible for their availability, accuracy, or practices.

All content within the Services, including software, text, graphics, logos, icons, images, audio, video, compilations, and underlying source code, is the exclusive property of CanvasPro or its licensors and is protected by United States and international intellectual property laws. Nothing in these ToS grants you any right, title, or interest in the Services other than the limited license expressly granted above. The "CanvasPro" name and logo are trademarks of the Company; you may not use them without prior written permission.

If you provide feedback, ideas, suggestions, or bug reports regarding the Services, you grant CanvasPro a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and incorporate such feedback into the Services without obligation or attribution to you.

We may suspend, restrict, or terminate your access to the Services, revoke any key, and cancel any pending reward, at any time and without prior notice, if we believe in good faith that you have violated these ToS, engaged in fraudulent or abusive behavior, or created legal or security risk for CanvasPro or other users. Upon termination, your license to use the Services immediately ends. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. CanvasPro does not warrant that the Services will be uninterrupted, error-free, secure, or that any answer, output, or result generated by the Services will be accurate, complete, or suitable for any particular assignment or coursework. You use the Services entirely at your own risk.

You agree to indemnify, defend, and hold harmless CanvasPro, its officers, developers, contractors, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Services; (b) your violation of these ToS; (c) your violation of any third-party right, including any intellectual-property, privacy, or academic-integrity policy; or (d) any content you submit or transmit through the Services.

Except for claims for injunctive relief relating to intellectual property, any dispute, claim, or controversy arising out of or relating to these ToS or the Services shall be resolved exclusively through binding individual arbitration administered under the Consumer Arbitration Rules of the American Arbitration Association, seated in Maricopa County, Arizona. You and CanvasPro each waive the right to a jury trial and the right to participate in a class, collective, or representative action. If any portion of this section is found unenforceable, the remainder shall continue to apply, and the unenforceable portion shall be severed.

You represent that you are not located in, and are not a national or resident of, any country subject to a comprehensive United States embargo, and that you are not listed on any U.S. government list of prohibited or restricted parties. You agree to comply with all applicable export-control and sanctions laws in your use of the Services.

If any provision of these ToS is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The failure of CanvasPro to enforce any right or provision of these ToS will not be deemed a waiver of that right. You may not assign or transfer these ToS, by operation of law or otherwise, without CanvasPro's prior written consent. CanvasPro may assign these ToS at any time without notice.

These ToS, together with the Privacy Policy and any additional terms you agree to when using specific features, constitute the entire agreement between you and CanvasPro regarding the Services and supersede all prior or contemporaneous understandings, agreements, communications, and representations, whether oral or written.
